Terms of Service

These Terms of Service (“Terms”) govern the provision of professional business and consulting services by Contents Pro Pty Ltd (ABN 94 703 532 530) of Melbourne VIC, Australia (“we”, “us” or “our”) to you, the client (“you” or “your”). By engaging us, accepting a quote or using our website at contentspro.online, you agree to be bound by these Terms.

1. Our services

We provide professional business and consulting services, which may include business advisory, documentation and content services, operational reviews, process improvement and related support services. The specific services to be supplied, together with deliverables, timeframes and fees, will be set out in a written proposal, engagement letter or quote that we provide to you (the “Engagement”). Where an Engagement conflicts with these Terms, the Engagement prevails to the extent of the inconsistency.

2. Quotes and engagement

Quotes provided by us are valid for 30 days unless otherwise stated and are prepared based on the information you supply at the time. Engagements commence only when you accept our quote in writing (including by email) or, where applicable, sign an engagement letter. Changes to the scope of work requested after acceptance may result in revised fees or timeframes, which we will confirm with you before proceeding.

3. Fees, invoices and payment

Fees are stated in Australian dollars and are exclusive of GST unless otherwise indicated. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date by the payment method specified on the invoice. We may charge interest on overdue amounts at a reasonable commercial rate and may suspend work where invoices remain outstanding. Where an Engagement involves third-party costs (such as software licences, subscriptions or specialist contractors), those costs will be itemised and on-passed at cost or as otherwise agreed.

4. Your responsibilities

You agree to:

Delays caused by unavailability of information, approvals or personnel may affect timeframes and, where applicable, incur additional fees.

5. Deliverables, revisions and acceptance

Unless otherwise agreed, each deliverable includes two rounds of reasonable revisions arising from your feedback. Further revisions, or changes to agreed scope, will be quoted separately. Deliverables are deemed accepted if we do not receive written feedback within 10 business days of delivery.

6. Intellectual property

Upon full payment, you own the final deliverables prepared specifically for you under the Engagement, excluding our pre-existing tools, templates, frameworks and know-how, which remain our property. We retain the right to use general skills, knowledge and methodologies developed in the course of our work. You grant us a limited licence to use materials you supply solely for the purpose of performing the services. We may reference our work for you in general marketing unless you ask us in writing not to do so.

7. Confidentiality

Each party will keep confidential all non-public information disclosed by the other party in connection with the Engagement and use it only for the purposes of the Engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. Confidentiality obligations survive completion or termination of the Engagement.

8. Warranties and the Australian Consumer Law

We warrant that our services will be performed with due care and skill and delivered within a reasonable time. Nothing in these Terms excludes, restricts or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot lawfully be excluded, including consumer guarantees. Where the Australian Consumer Law applies and we are a supplier of services to a “consumer”, our goods and services come with guarantees that cannot be excluded, and where we fail to comply with a consumer guarantee you may be entitled to remedies such as resupply of the services or payment of the cost of having the services supplied again, as provided by law.

Subject to the preceding paragraph and to the extent permitted by law, all other conditions, warranties and representations, whether express or implied, are excluded.

9. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or in connection with the Engagement, whether in contract, tort (including negligence), statute or otherwise, is limited to the fees paid by you for the services giving rise to the liability. We are not liable for indirect or consequential loss, loss of profits, loss of revenue, loss of data or loss of business opportunity. This clause does not limit liability that cannot lawfully be limited, including liability under the Australian Consumer Law for failure to comply with a consumer guarantee.

10. Suspension and termination

Either party may terminate an Engagement by giving 14 days’ written notice. We may suspend or terminate work immediately if you fail to pay an invoice by its due date, breach a material obligation, or if continuing the Engagement would place us in breach of law or our professional standards. On termination, you must pay for all services performed and reasonable costs incurred up to the termination date, and we will deliver completed work product to the extent paid for.

11. Privacy

We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth). By engaging us, you consent to the collection, use and disclosure of personal information as described in that policy.

12. Independent contractor

We are an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between the parties, and neither party may bind the other.

13. Force majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, industrial action, power or communications failures, pandemics or changes in law. Affected timeframes will be extended reasonably.
